These Terms of Service (hereinafter "TOS") govern the contractual relationship between:

Any natural or legal person using the services offered by the platform, (hereinafter "the User" or "You").

Accessing and using the Platform implies full and complete acceptance of these TOS.

ARTICLE 1: DEFINITIONS

  • Platform: Refers to the website and the SaaS application published by the Publisher, providing the Services described in Article 3.
  • Service: Refers to all the features made available to the User via the Platform, including access to analysis data, algorithmic signals, and confidence scores.
  • Account: Refers to the User's personal space on the Platform, accessible via login credentials.
  • Content: Refers to all information, data, signals, scores, texts, graphics, and other elements accessible via the Service.
  • Service Tiers: Refers to the different subscription plans offered (e.g., "Free", "Pro", "Quant"), each providing access to a defined scope of features.

ARTICLE 2: PURPOSE AND ACCEPTANCE OF THE TOS

The purpose of these TOS is to define the terms and conditions under which the Publisher provides the User with the Service and the Content.

Access to the Platform is subject to the unreserved acceptance of these TOS.

This acceptance is materialized by a checkbox during Account creation.

A User who does not agree to be bound by these TOS must not use the Platform.

ARTICLE 3: DESCRIPTION OF SERVICES

The Platform provides access to data analysis tools for the crypto-asset markets.

The Service includes, depending on the subscribed Service Tier, access to:

  • Raw and aggregated market data.
  • Graphical visualizations of this data.
  • Signals generated by algorithmic models based on historical data analysis.
  • Confidence scores representing a statistical evaluation of the past performance of said models.

The Service is a research and analysis support tool and in no way constitutes an investment advisory or portfolio management service.

ARTICLE 4: ACCESS AND ACCOUNT CREATION

Access to the Service requires the creation of an Account.

The User must be a natural person of legal age and capacity, or a legal entity acting through a duly authorized natural person.

The User agrees to provide accurate information and to keep it up to date.

The User is solely responsible for the confidentiality of their credentials and for all activities carried out from their Account.

ARTICLE 5: USER OBLIGATIONS

The User agrees to use the Platform fairly and in accordance with current legislation.

The User is specifically prohibited from:

  • Reverse engineering, decompiling, or disassembling the Platform.
  • Using robots, scripts, or any other automated process to extract or collect data (scraping).
  • Sharing, selling, or renting access to their Account.
  • Using the Service for illegal or fraudulent purposes.

ARTICLE 6: FINANCIAL CONDITIONS

Access to certain Service Tiers ("Pro", "Quant") is subject to payment.

The prices are indicated on the Platform. Payment is made via our secure payment provider, Stripe.

Subscriptions are taken out for a defined period and are renewable by tacit agreement, unless terminated before the expiry date.

Unless otherwise stated, subscriptions are non-refundable.

ARTICLE 7: INTELLECTUAL PROPERTY

The Publisher is and remains the exclusive owner of all intellectual property rights relating to the Platform, its source code, design, structure, trademark, as well as the Content generated by its algorithms (signals, scores, etc.).

The Publisher grants the User a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Service and the Content for their personal or internal professional use, in accordance with these TOS.

Any other use is strictly prohibited.

ARTICLE 8: SUSPENSION AND TERMINATION

The Publisher reserves the right to suspend or permanently terminate the User's Account access, without notice or compensation, in the event of a serious or repeated breach of these TOS.

ARTICLE 9: DISCLAIMERS AND LIMITATION OF LIABILITY

The User acknowledges and agrees that the use of the Service is at their own risk.

The Publisher invites the User to carefully read and accept the following documents, which are an integral part of these TOS:

  • The Financial Disclaimer.
  • The Limitation of Liability.

ARTICLE 10: PERSONAL DATA

The collection and processing of the User's personal data are governed by our Privacy Policy, which is an integral part of these TOS.

ARTICLE 11: AMENDMENT OF THE TOS

The Publisher reserves the right to amend these TOS at any time.

Users will be notified of any substantial changes and must accept the new terms to continue using the Service.

ARTICLE 12: GOVERNING LAW AND JURISDICTION

These TOS are governed by and construed in accordance with French law, regardless of the User's country of residence.

In the event of a dispute, after an attempt at amicable resolution, exclusive jurisdiction is granted to the courts of Sophia-Antipolis, subject to the mandatory arbitration clause below.

ARTICLE 13: MANDATORY ARBITRATION AND CLASS ACTION WAIVER (FOR U.S. USERS)

If you are a resident of the United States, this section applies to you.

You agree that any dispute, claim or controversy arising out of or relating to these TOS or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's copyrights, trademarks, trade secrets, patents or other intellectual property rights.

You acknowledge and agree that you and the Publisher are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.
